These Terms and Conditions apply to the supply of all products and services by EURO ACCOUNTING LTD.

We only accept orders and instructions insofar as the persons giving us instructions do so as legal representatives.

3. Relevance of instructions

We provide services only to the extent that we receive all appropriate, necessary and timely instructions, authorizations and information (including the execution of all required documents) to enable us to lawfully and effectively carry out the assignments, and to the extent that the persons giving us such instructions indemnify us in the event of default.

4. Printing and publishing

We will accept material for printing and/or publication provided that those sending the material ensure that it is free from defamatory content and does not infringe the copyright or any other rights of third parties, and provided that those instructing us indemnify us in this respect.

5. Use of third parties

Our services, including research reports and information services, are for the use of our Client only and must not be used or relied upon by any third party. Nothing in these Terms may be enforced by any person who is not a Client and therefore a Party under the Contracts (Rights of Third Parties) Act 1991.

7. Payment

We require payment before we provide any goods or services.

8. Research and other reports

We accept no responsibility for the accuracy of any research or other reports or parts thereof where they are not derived from information in a public register, or for any inaccuracies, omissions or other errors in any public register on which our research or report is based.

9. Non-performance of services

When you ask us to provide a service, you will be liable for our charges for providing that service, whether or not it is completed.

10. Company formation and liability

We are not responsible for the appropriateness of setting up your company in the UK. It is your responsibility to know what your responsibilities are to the French authorities or other countries in relation to your tax and legal obligations.

Our role will exclusively concern the creation of your company following your request.

11. Consumers

Our services are not for sale or use by a consumer within the meaning of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 20132. You agree that you are not a consumer within the meaning of this definition.

12. Responsibility

You waive any claim or action against EURO ACCOUNTING LTD for any failure of the Technical Service Providers or for any damages resulting from the diligence or failure of the said providers. You will be held solely responsible for any information or documents provided, and any acts or omissions committed within or outside the scope of this engagement letter that are contrary to or violate applicable laws and regulations.

13. Data protection

Each party acknowledges that it may be a Data Controller and Data Processor for the same Personal Data, depending on the purposes for which it is processed. Where both parties act as Data Controller with respect to Personal Data, both parties agree that Personal Data transferred by one party (the "Transferor") to the other (the "Recipient") will be transferred in accordance with data protection laws, including:

(a) ensuring that all fair processing notices have been given to (and, where applicable, consents obtained from) Data Subjects of such Personal Data to enable each party to use the Personal Data in the manner set out in these Terms and Conditions;

(b) the transferor is not subject to any prohibitions or restrictions that would prohibit or restrict the disclosure or transfer of personal data to the recipient (or other parties, as the case may be) as provided for in these Terms and Conditions, and

(c) the Personal Data is accurate and up to date as of the date it is shared in accordance with these Terms and Conditions.

Both parties also agree:

(a) to implement and maintain for the duration of these Terms and Conditions all appropriate measures against unauthorised, unlawful or undesirable processing, use, access or theft of Personal Data and against loss, destruction or damage to Personal Data (and such measures shall at a minimum meet the requirements of data protection laws); and

(b) ensure that access to Personal Data held is limited: (i) to those persons who need access to the Personal Data; (ii) to the part or parts of the Personal Data necessary for the performance of those persons' authorised duties; and (iii) to those persons who have received appropriate training to process the Personal Data in accordance with these Terms and Conditions.
